1. Definitions


The general terms and conditions outlined below shall apply to all sales of goods by SmartCard and its partners through the online store www.smart-card.io to the Buyer and may be amended at any time by SmartCard without prior notice.
The following terms shall mean:

    • Buyer - any individual or legal entity that issues an Order.

    • Seller - SmartCard, legally known as Prisma Platform Solutions SRL, headquartered in Mures, Targu Mures, 7, 540331, VAT ID RO42216566, registered at the Trade Register under J26/164/2020.

    • Goods - any product, including documents and services specified in the Order, to be supplied by the Seller to the Buyer.

    • Order - an electronic document serving as a form of communication between the Seller and Buyer, by which the Seller agrees to deliver the Goods, and the Buyer agrees to receive the Goods and make the payment.

    • Contract - an Order confirmed by the Seller.

    • Intellectual Property Rights - all intangible rights, including know-how, copyrights, database rights, design rights, trademarks, patents, and domain name registrations for any of the above.

    • Site - the domain www.smart-card.io and its subdomains.

2. Contract Documents


By placing an electronic Order on www.smart-card.io, the Buyer agrees to the form of communication (e-mail, phone) used by the Seller. The Order will comprise the following documents:

    • Order (including specific delivery and billing details) and its specific terms.

    • Terms and Conditions

If the Seller confirms the Order, this implies full acceptance of the Order’s terms. Order acceptance by the Seller is complete once there is electronic confirmation (e-mail) from the Seller to the Buyer without requiring receipt confirmation from the Buyer. Unconfirmed orders do not constitute a Contract. Order confirmation is provided electronically (e-mail). Product prices in the Order are valid for three business days from the Order date. The general terms and conditions of sale form the basis of the Contract thus concluded.

3. Seller's Obligations


The Seller shall use its professional and technical expertise to achieve the results specified in the Order and deliver Goods that meet the Buyer's requirements and specifications as expressed in the Order. The information presented on the Seller's websites is for information purposes only and may be changed by the Seller without prior notice. Product descriptions may be incomplete, but the Seller makes efforts to present the most relevant information for proper product use.

4. Intellectual and Industrial Property Rights


The User/Buyer understands intellectual property rights and agrees not to disclose to third parties or publicly share any information received from the Seller.
All designs, graphics, and site elements, the site name, and its trademarks are registered property of SmartCard and cannot be copied or used without written permission from the owner. All content elements, including descriptions, designs, logos, stylized representations, trade symbols, static images, dynamic images, text, and/or multimedia content, are the exclusive property of SmartCard, with all rights reserved directly or indirectly through licenses for use and/or publication.
Copying, distribution, publication, transfer to third parties, modification, or other alteration, usage, linking to, display, or inclusion of any of the above content in any context other than as intended by SmartCard, or outside the Site, is prohibited without express written permission from SmartCard.

5. Content Rights


All site content and graphics, including but not limited to all text content and technical sources of current and future services and facilities, belong to SmartCard, unless otherwise specified. Content may only be used for personal purposes. Any third-party use of content for purposes other than personal use requires written, express, and prior consent from SmartCard. Exceptions include:
(i) Reproduction of short excerpts (up to 400 characters) for non-commercial sites, forums, press articles, etc., with mandatory source citation: (Source: website name – link to the website content).
(ii) Links to www.smart-card.io, with source attribution as follows: "Information provided courtesy of SmartCard – link to website content."

6. Limitation of Liability


SmartCard does not guarantee, explicitly or implicitly, the content on the Site or any content provided by its partners or Site Users. However, SmartCard will make reasonable efforts to ensure the accuracy and professionalism of the information on the Site to maintain Users' trust. SmartCard will correct reported errors and omissions as soon as possible.
The Site Administrator provides no warranties regarding Site content and cannot be held liable for any loss or damage arising from using any part/page of the Site or inability to use it, regardless of cause.
Users understand and accept that SmartCard does not guarantee:

    • That information on the site is fully complete;

    • That User-submitted information is true and accurate;

    • That site services will function continuously, without interruptions or errors;

    • Responsibility for damages Users may incur due to temporary non-functionality or site issues.

7. User Subscription to Newsletters and Alerts


Site Users can subscribe to newsletters and alerts, with the option to unsubscribe at any time via the unsubscribe link provided in each notification.

8. Cookie Policy


Cookies are text files containing small information fragments sent to your browser and stored on your computer, mobile phone, or other devices when you visit a site. They enhance site functionality, facilitate navigation, remember preferences, and generally improve user experience.

    • Strictly Necessary Cookies: Essential for navigation and requested services, such as accessing secure site areas.

    • Performance Cookies: Collect anonymous information about site usage, including popular pages, for analytics and advertising campaign measurement.

    • Functionality Cookies: Store preferences and settings to personalize user experience, including login credentials and viewing options.

    • Advertising Cookies: Manage site-wide advertising by limiting ad frequency and measuring campaign effectiveness.

    • Social Media Cookies: Enable content sharing on social networks and may be managed by third-party platforms.

9. Billing and Payments


The price, payment method, and due date are specified in the Order. The Seller will issue an invoice for the Goods delivered, and the Buyer is responsible for providing all necessary information for invoice issuance in compliance with applicable law.

10. Responsibilities

  • The Seller is obligated to ship the Goods and Services via door-to-door courier service to the Buyer.

  • The Seller transfers any associated risks and responsibilities for the Goods and Services to the internal courier company or the Buyer's representative at the time of handover.

  • The Seller will ensure that the Goods and Services are packaged appropriately and that all accompanying documents are included.

  • The Seller cannot be held liable for any damages that the Buyer or a third party may suffer as a result of the Seller fulfilling any of their obligations under the Order, or for damages resulting from the use of the Goods after delivery, particularly in cases of product loss. However, the Seller will be liable if subcontractors or partners involved in fulfilling the Order fail to meet their contractual obligations.

  • The Seller is not responsible for any product descriptions displayed on the website. Images are shown for illustrative purposes only, and delivered products may differ from those images or descriptions due to changes in characteristics or design without prior notice. The Seller reserves the right to add or modify any information on the website without notice.

  • The Seller does not guarantee the availability of the products displayed in stock, and thus may partially or fully cancel an order if certain products are no longer available.

  • In the case of incorrectly displayed prices or other product details, including due to data entry errors, the Seller reserves the right to cancel the delivery of the affected product and notify the customer as soon as possible about the error, provided that delivery has not yet been made.

  • The Seller is not liable for damages caused by the website's malfunction or the inability to access certain links on the site.

  • The maximum liability of the Seller towards any client, in case of non-delivery or incorrect delivery, is limited to the value of the amounts received from that client.

  • Products sold on the site are intended for personal use only, and resale is strictly prohibited under the Tax Code.

11. Product Delivery

  • Delivery is not free and is done via express courier as described in the "Deliveries" section.

  • Our products may sometimes be made to order, which may extend the production and delivery period up to 14 working days from the date the order is processed.

  • Orders are processed as soon as possible after being placed, Monday – Friday, from 10:00 AM to 6:00 PM. Orders placed outside these hours or on weekends will be processed on the next working day. During holidays and discount periods, delivery time may be extended.

  • If the package cannot be delivered (recipient is unavailable, incorrect address, etc.), the courier will contact you by phone. If the recipient cannot be reached, the package will be held by the local courier for 7 days before being returned to the Sender.

  • We are not liable for delays, loss, damage, non-delivery, or incorrect delivery if caused by circumstances beyond our control, including but not limited to:

    • roadblocks (fallen trees, landslides, chain collisions),

    • bridge collapses, closed mountain tunnels, train derailments near roads, unauthorized strikes, regional uprisings, or adverse weather conditions affecting the proposed route,

    • natural causes: earthquakes, catastrophes, destructive storms, tornadoes, wildfires, floods, river overflows, etc.,

    • human causes: war, siege, forced nationalization, revolutions, civil unrest, etc.,

    • supplier and third-party order compliance issues.

12. Acceptance

  • Acceptance occurs when the Goods comply with the technical specifications stated in the Order. If the Buyer finds that the delivered Products do not meet the technical specifications, the Seller will correct the Products accordingly. Also, for products sold and delivered by SmartCard, the Buyer is entitled to return the products within 14 days.

13. Transfer of Ownership

  • Ownership of the Goods is transferred upon delivery, after payment is made by the Buyer at the location specified in the order (where "delivery" refers to signing the receipt of the transport document provided by the courier or signing the receipt on the invoice for deliveries made by the Seller's staff). In the case of courier delivery, the courier is not authorized by the Seller to allow the Buyer to open the packages before signing the receipt; only afterward can they do so.

14. Product Returns

  • The Buyer may request a return in the following cases:

    • The packages are severely damaged;

    • The Products were incorrectly delivered or invoiced. Delivering products other than those ordered must be reported immediately. The Buyer may request a return for replacement or a full refund if the product is out of stock. If a replacement with a more expensive product is agreed upon, the Buyer will pay the difference; if the value is lower, a partial refund will be issued. The costs for return and replacement shipping, if applicable, are borne by the client.

    • The Products have manufacturing defects;

    • The Buyer has the right to notify the Seller in writing of their intention to cancel the purchase, without penalties and without providing a reason, within 14 days of receiving the product. In accordance with Article 7, Paragraph 1 of O.G. 130/2000, the Buyer has the right to unilaterally terminate the distance contract in writing within 14 days from the date of receipt, without penalties and without providing a reason. In this case, the direct return costs are the Buyer's responsibility, as provided by law.

  • Products must be returned in the original packaging, with the attached invoice, and must show no signs of physical wear or damage.

  • Customized products cannot be returned, as these products are created according to your specifications and cannot be changed or returned.

  • If an exchange for a higher-value product is agreed upon, the Buyer will pay the difference; if the value is lower, a partial refund will be issued. The costs of return and transport for the replacement product, if applicable, are borne by the Buyer. If the returned products have damaged or incomplete packaging, show wear, scratches, or dents, we reserve the right to decide whether to accept the return or retain a fee, which will be communicated after evaluating the damages.

  • If the legal right to return a product is exercised, the refund will be made via bank transfer to the account indicated by the Buyer within 14 days of receiving the returned product.

15. Personal Data Processing

  • To ensure the protection of users' personal data rights, we have implemented specific protection measures in line with Romanian legislation and the requirements set by Regulation (EU) 2017/679, effective throughout the European Union from May 25, 2018 ("Regulation").

  • Personal data refers to any information that can identify you, particularly by an identifier like a name, ID number, location data, an online identifier, or factors specific to physical, physiological, genetic, mental, economic, cultural, or social identity.

  • Our company takes all necessary steps to safeguard your right to data protection, and these conditions provide notification in compliance with Articles 13 and 14 of the Regulation, explaining why we collect your personal data, how we protect it, and what your rights are in connection to this data collection.
